RD FRESH: MUTUAL NON CIRCUMVENTION, NON DISCLOSURE AND NON-COMPETE AGREEMENT
This Agreement, made and entered into upon submission of online form shall obligate the SUBMITTING PARTY to the terms and conditions expressly stated below. The terms and conditions of this agreement apply to any exchange of information written or oral, involving financial information, personal or corporate names, contracts initiated by or involving RD FRESH and RD FRESH DISTRIBUTING that may be given to the SUBMITTING PARTY during the application process.
NOW, THEREFORE, IT IS AGREED:
1. You shall not disclose or otherwise reveal directly or indirectly to any third party, any confidential information provided or otherwise acquired, particularly, contract terms, product information, or manufacturing processes, prices, fees, financing arrangements, schedules, and information concerning the identity of sellers, producers, buyers, dealers, borrowers, brokers, lenders, distributors, developers, manufacturers, technology owners, or their representatives, and specific individual names, addresses, principals, or telex/fax/telephone numbers, references, product or technology information, and/or all other information, deemed as being confidential or privileged, without the prior specific written consent of the RD FRESH and /or RD FRESH DISTRIBUTING.
2. Furthermore, you also agree from this point forward not to directly or indirectly compete with the business of RD FRESH and RD FRESH DISTRIBUTING and / or its successors and assigns during and for a period of two (2) years following the association. The term "not compete" as used herein shall mean "own, manage, operate, consult or be employed in a business substantially similar to, or competitive with, the present business of RD FRESH and RD FRESH DISTRIBUTING".
3. Legal remedy for breach of any of the above agreed to covenants shall be governed by the laws of Broward County, Florida. If an amicable settlement cannot be agreed to by mutual discussion and / or arbitration by a third party, each of the "Parties" subject to the declared breach shall be responsible for their own legal expenses, until a settlement or judgment is reached, provided however, that the party found in default by a judgment shall compensate in full the aggrieved party for all of its legal expenses, not withstanding any other provisions of the judgment.
